The Investment Funds group advises investment funds, their managers and investors on a broad range of issues, from marketing, through to formation, investment and ongoing trading and business issues. Our cross-departmental group offers breadth and experience at each stage of the life of the fund, drawing on expertise from our corporate, regulatory, tax and real estate departments.
We act on both fund formation work and advising investors participating in funds. Through our detailed knowledge of the market position on fund terms, structuring issues, relevant tax issues and the requirements of key jurisdictions, we are able to adopt a commercial and proactive approach for our clients to ensure a successful outcome to the particular transaction.
Other areas of our work include secondaries, co-investments/syndications by LPs, advising executives on carried interest and co-investment arrangements, fund restructurings, Shari'ah compliant funds and conversions of management vehicles to LLPs.
As well as unquoted fund structures, our team benefits from our excellent corporate finance experience in relation to fund IPOs and to corporate actions affecting listed vehicles. We regularly advise offshore funds, VCTs and their sponsors on admissions to AIM, the Official List and the Specialist Fund Market and we have long-standing experience in investment trust work.
Our flagship regulatory practice advises on all aspects of investment funds including: marketing funds; the regulatory aspects of funds formation; applications for authorisation by the UK regulator; regulatory capital; investment management and advisory agreements; day-to-day compliance issues; and the regulatory aspects of investment and trading (such as market abuse and shareholder activism).
