Travers Smith guides Immediate Media through first Phase I remedies case under the new UK merger control regime

The Travers Smith competition team has advised leading media group Immediate Media on the UK merger control process for its recent acquisition of a portfolio of Cycling and Craft titles from Future Publishing. On 23 October 2014 the new UK competition authority, the Competition and Markets Authority (CMA), announced its initial Phase I decision on the acquisition. The CMA was convinced that no competition concerns arose as regards most of the overlaps between the acquired titles and Immediate Media’s existing portfolio, but had outstanding concerns as regards the overlaps between Immediate Media and the acquired Future Publishing titles in Needlecraft and Genealogy.

Travers Smith advises management on the sale of Keepmoat to Sun Capital and TDR Capital

A Travers Smith team led by private equity partner James Renahan and senior associate Matthew Kichenside have advised management on the sale of Keepmoat. Sun Capital and TDR Capital have agreed to buy the Doncaster-based homebuilder and provider of social housing for a reported £400 million. Completion is expected to occur by the end of November 2014 and is subject to regulatory clearances.
