Liquidity for the house: Preparing an alternative asset manager for sale

While the vast majority of alternative asset managers remain owner-managed, in recent years a growing number of GPs have pursued IPOs, equity and debt solutions from external investors, and even outright sales. With such M&A activity in the private funds space initiated by a wide range of drivers – including generational shifts, liquidity requirements or the need for expansion capital – the complexities of executing deals to achieve optimal outcomes cannot be downplayed.

The new FCA Consumer Duty: a higher standard, better culture and good outcomes

The FCA has now published PS22/9, its policy statement on a new Consumer Duty. This sets out feedback to the December 2021 consultation paper (which we covered in our New Year Briefing), and the final rules. Alongside the new rules, the FCA has also published FG22/5, final non-Handbook Guidance for firms on the Consumer Duty (Finalised Guidance). Potentially, a great many firms will be in scope and this will include some firms which would not consider themselves "retail".

Tribunal publishes first detailed decision on salaried members rules

The salaried members rules were introduced in 2014 to counter situations where UK limited liability partnerships (LLPs) were avoiding employment taxes by making junior workers members (rather than employees) without bearing the risks, rewards and responsibilities typically associated with partnership. Under the rules, members of an LLP are treated as  employees for tax purposes, unless one of three exclusions apply.
