In connection with:

• a £100m care home sale and leaseback deal with Rynda Healthcare. The transaction involved the sale and leaseback of five care home assets in which Hamberley’s operating company, Hamberley Care Homes, leased back and operates three of its care homes under 35-year leaseback agreements: Elstow Manor in Bedford, Verwood House in Dorset and Upton Manor in Poole. Hamberley Care Homes will also lease two further care homes that are being developed in Eastleigh and Enfield.
• a £100m sale and leaseback of 6 care homes to Octopus Real Estate. The properties focus on caring for people with neurological conditions such as motor neurone disease, and offer specialist facilities including physiotherapy and medical consulting rooms, therapy gyms, lounges, dining rooms and self-contained step-down apartments.

In connection with:

• • Advising in connection with a private placement of up to £75m.
  • Advising in connection with a new £50m long term facility with National Westminster Bank PLC.
  • The Fund's second forward funding with new operator Carlton Hall Limited for the development of a new care home at Norwich, plus the associated acquisition of a new high quality existing care home at Lowestoft;
  • The sale of Heeley Bank, a 67-bed care home in Sheffield;
  • The acquisition of two care homes in Northern Ireland with operator, Electus Healthcare, using local counsel input;
  • The acquisition of a care home in Kilmarnock, Scotland, with operator Holmes Care Group using local counsel input;
  • Investment via a loan to the Holmes Care Group into a portfolio of 12 care homes which were owned and operated by Kingdom Homes (using local counsel input), such loan to be converted into an option for Impact to acquire the 12 care homes subject to regulatory approvals being received. This innovative transaction took Impact's investment with Holmes to 1,129 beds in Scotland; and
  • Investment via a loan via the same transaction structure into two care homes to be operated by Welford Healthcare into Mansfield.
    
    
• Aedifica - the acquisition of a brand-new purpose-built care home in Congleton, Cheshire, for approximately £13m comprising 80 en-suite bedrooms for seniors requiring continuous care.

• McCarthy Stone

In connection with: 

• • the sale of a portfolio sale of 135 apartments to Waverstone LLP. The transaction followed an initial sale and lease back of 41 sales offices and show flats to Waverstone LLP in October 2019. The deal included the sale of 94 finished apartments and apartments under construction in Scotland, which completes the Group’s strategy to exit its development activity in Scotland.
    
    
• Impact Healthcare REIT plc

In connection with:

• • A £100 million placing. The Fund used the placing proceeds to repay its revolving credit facilities and to continue to pursue investment opportunities in UK healthcare real estate assets, in particular residential care homes.
  • The Fund's first forward funding with an existing operator, for a new 94 bed care home in Hartlepool;
  • the purchase of 7 new care homes properties by a variety of asset and corporate acquisitions;
  • completing Impact's fourth financing with a value of £50m;
  • acquiring a further 14 homes across Scotland and Northern Ireland using local counsel input;
  • bespoke advice in light of the Covid-19 pandemic and protecting Impact's position under its leases.
  • the review of their leasehold portfolio from an ESG perspective. This has led to a new market -leading form of lease in the sector, with extensive environmental and sustainability objectives.

• • the acquisition of a number of care homes at Mapledurham, Eastleigh, Dorking, Cambridge, and Broadoaks;
  • the forward funding of development of care homes at Ampthill and Hailsham; and
  • the financing of care homes at Brampton, Bristol, Broadoaks and Edwalton.
    
    
• Ancala - its acquisition of a majority stake in Holmleigh Care Homes for its European Infrastructure Fund II. Holmleigh provide residential care, supported living and domiciliary care services to adults with a varied range of disabilities and challenges across 31 homes in Gloucestershire, Wiltshire, Swindon and Worcestershire. Holmleigh has provided Ancala Partners with an entry into the new and evolving market of supported living and we have acted on an innovative and new structure over circa 30 assets with Falcon Housing Association. This bolt-on completed in November 2020.
  
  
• Patron - its acquisition of various care homes including Pickering House Dorking, a development site at Eastleigh, and the sale of a care homes at Adderbury.
  
  
• Aedifica - its acquisition of a brand-new purpose-built care home in Congleton, Cheshire, for approximately £13m comprising 80 en-suite bedrooms for seniors requiring continuous care. The care home will be operated by Handsale.
  
  
• Assura PLC - its £185 million placing by way of an accelerated bookbuild.
