Overview

Join us for the second in our series of webinars focused on sustainability themes relevant to alternative asset managers. Aimed at business leaders, senior executives, general counsel and legal and compliance teams, this series will debate the key sustainability issues for 2021 and the impact they will have on private markets in Europe. This webinar will feature a panel discussion covering corporate governance and responsible investment in private equity. The panel session will be chaired by Travers Smith Partner, Lucie Cawood.

In this webinar, we will examine ways in which private equity firms ensure that their portfolio companies focus on long-term value creation and actively engage with ESG issues. We will explore the extent to which company law and corporate reporting affect decision-making in the portfolio company. The discussion will also consider various law reform proposals which aim to encourage private companies to respond to stakeholder and societal concerns, and whether the current vogue for corporate "purpose" has a role in the private equity world. 

Simon Witney, Senior Consultant at Travers Smith, will set the scene for the panel discussion by summarising the main conclusions from his recently published book, Corporate Governance and Responsible Investment in Private Equity.

Our guest panellists

Marc Moore, Professor of Corporate/Financial Law at the Faculty of Laws University College London

Marc Moore was appointed to the Chair in Corporate/Financial Law at UCL Laws in 2019. Prior to this, he was Reader in Corporate Law and MCL Director at the University of Cambridge. Marc previously spent five years at the UCL Faculty of Laws from 2009 to 2014, and has also taught at the University of Bristol. Marc is the author of Corporate Governance in the Shadow of the State (2013, Hart), which was shortlisted for the 2013 SLS/Peter Birks Book Prize. He is also the co-author (with Professor Martin Petrin) of Corporate Governance: Law, Regulation and Theory (2017, Palgrave). In 2012, Marc was awarded a Philip Leverhulme Prize for outstanding researchers who have made a significant contribution to their field of study.

Michael L. Arnold, Partner, Cravath

Michael L. Arnold is a partner in Cravath’s Corporate Department and a member of the Firm’s Corporate Governance and Board Advisory practice. Mr. Arnold counsels clients with respect to their most sensitive and highest risk matters, advising boards of directors and senior management on a broad range of corporate governance, public reporting, disclosure and compliance matters, including in connection with restatements and other financial crises. He also advises companies on matters relating to Environmental, Social and Governance (“ESG”) issues, particularly with respect to investor engagement, reporting requirements and ESG-related governance processes.

Julie Bradshaw, General Counsel and Compliance Officer, DH Private Equity Partners

Julie Bradshaw has a degree in Law from Hertford College, Oxford University and is a qualified solicitor. She joined DH in 2011 from US law firm Skadden Arps where she was Of Counsel for five years. Before that, she worked for more than 20 years in both London and Frankfurt with a leading international law firm, becoming a Partner specialising in private equity and corporate transactions in 1991. She advised DH throughout her time in private practice. Julie has prime responsibility for all legal matters relating to the DH Group. As Compliance Officer, Julie is also responsible for promoting ethical conduct and compliance with the rules and regulations (including the requirements of the UK FCA) and best practices applicable to the firm. Julie is a past vice chairman of the BVCA Legal and Accounting Committee.
