Jon is a partner in the Corporate M&A and ECM Group specialising in domestic and international M&A including public company takeovers and public, private equity fundraisings and corporate advisory, advising private and quoted companies and financial intermediaries. Jon provides ongoing corporate advice to a range of private and quoted companies including SSP Group plc, Fresnillo plc, Breedon Group plc, BLME Holdings plc and Leicester Tigers. He is recommended by The Legal 500 2018, in the M&A: Upper Mid-Market and Premium Deals, £250 million+ category, where he is noted for being “practical and sensible”.

Elena Rowlands Partner, Tax

Elena is a partner in our Tax Department specialising in the taxation of asset managers, investment funds and their investors. Elena has a broad practice advising asset managers on the tax issues affecting their businesses and products and institutional investors on their participation in investment structures. Elena's clients include the full spectrum of alternative asset managers from global multi-strategy houses to European based start-up teams. She advises them on the structuring and formation of private and listed alternative investment funds, remuneration structures including carried interest and co-investment arrangements, the tax aspects of liquidity solutions including GP and LP-led secondary transactions as well as advising them on the complex tax issues affecting their businesses from tax authority enquiries and investigations to restructurings, succession planning and management spin-outs. The majority of Elena's work has an international element. Elena is a member of the Alternative Credit Council Tax Committee and a member of the Income Tax Sub-Committee of the Law Society. She is regularly invited to speak at conferences and writes for leading tax publications.

Tom Hartwright Partner, Private Equity & Financial Sponsors

Tom is a partner in the Private Equity & Financial Sponsors Group. Tom is a corporate partner, specialising in complex cross-border and domestic private equity and M&A transactions. His clients include international institutional investors, alternative asset managers, senior management teams, founders, corporates and investee companies. Tom advises on a full range of transactions including leveraged buyouts, consortium deals, bolt-on acquisitions, carve-outs, co-investments, minority deals, recapitalisations, divestments, distressed M&A, public-to-privates, joint ventures, reorganisations and restructurings together with advising on general corporate matters. Tom also advises the firm's global asset management clients on GP-stake transactions, GP succession planning (including restructuring ownership and governance arrangements) and structured secondary market liquidity solutions (including GP-led and LP-led secondary transactions). Industry Recognition Recognised as one of "Europe's Best Up-and-Coming Lawyers" and a Private Equity "Rising Star" by Law.com. Ranked as an "Up and Coming" lawyer for Private Equity in Chambers 2023 and 2024. Other roles and background Tom is a member of Travers Smith's Technology Sector Group with a focus on technology M&A and also devotes part of his time to Travers Smith's pioneering Legal Technology team, working alongside its software engineers to design more agile and efficient ways to deliver legal services. Tom is a member of Travers Smith's NextGen International Board, responsible for developing its international network of law firms. Tom trained at Travers Smith and became a partner in 2021.
