Travers Smith is advising 1Spatial plc, the AIM-listed leader in delivering Location Master Data Management (LMDM) software and solutions, on its recommended cash offer by VertiGIS, a portfolio company of Battery Ventures, that values 1Spatial at approximately £87.1m.
The acquisition represents an opportunity for VertiGIS to continue building a leading global provider of Geographic Information Systems (GIS) enabled software and services solutions, by combining its spatial asset management and GIS solutions for spatial analysis and visualisation, with 1Spatial's LMDM software and services that deliver a "source of truth" for location data by ensuring its quality and consistency.
The Travers Smith team on this transaction was led by our Head of Corporate M&A and ECM Adrian West and Partner Ben Lowen, supported by Associates Sylvia Mueller and Jamie Coupland, and Trainee Matthew Hibbert. Specialist advice was provided by our Competition Partner Ingrid Hodgskiss and Senior Associate Theodora Zagoriti and by our Incentives and Remuneration Partner Elissavet Grout and Associate Robert McGowan Stuart.
Our work on this deal continues to demonstrate our market-leading position in advising on public takeovers – we have advised on over 20 such deals in the last 30 months, notably advising on the high-profile and complex takeover of Assura plc in 2025.
We were also delighted to work with Gide, who provided advice on matters of French law on this acquisition.
