Travers Smith LLP has advised the founders and senior management team of International Schools Partnership ("ISP") on the acquisition of a 20% stake in ISP by CVC Strategic Opportunities ("CVC"), a leading global private markets manager. ISP is a longstanding client of the firm, Travers Smith having advised ISP, the founders and senior management team on a previous incoming investment in 2021.
Following completion, Partners Group will remain the majority shareholder with CVC as a significant minority shareholder, alongside OMERS as the other minority shareholder (which acquired a minority stake in 2021). The reinvesting senior management team, advised by Travers Smith on the previous 2021 incoming investment, will also remain as shareholders in ISP.
Partners Group and the ISP management team founded ISP in 2013 and since then, ISP has expanded globally to become one of the largest K-12 school platforms globally. The new shareholder group and management team will work together on ISP's next phase of growth.
The transaction is expected to close in Autumn 2025.
