Tom is a senior associate in our Tax Department and specialises in the taxation of asset managers and their portfolio investments.
Tom advises on all aspects of fund formation (both private and listed funds), with particular specialism in private equity and venture strategies. He advises asset managers on their house and remuneration structures, including carried interest and co-investment arrangements, as well as early stage HMRC disputes.
Tom also advises asset managers on structuring their investment transactions on acquisition and exit, as well as the tax issues arising during the life cycle of portfolio investments. This includes public and private M&A, restructurings and reorganisations, management incentive arrangements and IPOs. In recent years, Tom has worked on a number of secondary market solutions for investment funds (including GP and LP-led secondary transactions).
Tom's clients include the full spectrum of asset managers from global multi-strategy houses to UK based start-up teams. Tom recently spent six months on secondment in the international tax team at Apollo Global Management. Most of Tom's work has an international element.
Tom is a member of the firm's Brexit Working Group. He also sits on the Tax department's Global Mobility Working Group, Sustainability Working Group and Base Erosion and Profit Shifting Working Group. Tom regularly speaks and writes about tax.
