Overview

Travers Smith has been working in the defence and security sector for many years and has significant experience advising clients operating in the sector, including multinational corporations and government-linked entities.

We regularly advise on sensitive cross-border transactions, capital raisings, sustainability, compliance with the National Security and Investment Act, and engagements involving dual-use technologies and critical infrastructure. Our lawyers routinely navigate complex regulatory environments, including export controls, sanctions, licensing regimes, industry specific accreditations and national security considerations (including, but not limited to, facility security clearance requirements).

With deep expertise in dual-use technologies, ESG considerations in defence investing, and evolving NATO-aligned regulations, our lawyers bring extensive experience advising funds and investors on risk, compliance, and ethical issues in defence-related ventures, as well as supporting sponsors in raising capital for defence investments.

We have acted on high-value transactions involving sensitive technologies, nuclear materials and dual-use goods, supporting clients on structuring, compliance, procurement and intellectual property matters. We also have an in-depth understanding of the UK Ministry of Defence vetting process along with its contracting approach and style of working.

Work highlights

Advised Inmarsat, a leading UK based satellite service provider, in relation to its employee and management incentives arrangements on its acquisition by Viasat Inc, a provider of high-speed satellite broadband services and secure networking systems covering military and commercial markets.

Advised Adarga, one of the UK’s leading developers of artificial intelligence software for defence and national security, on its debt and equity refinancing.

Advised Marshall Group, a major UK defence manufacturing business in relation to the separation and sale of Slingsby Advanced Composites, one of the UK’s premier complex composite structure and assembly service providers operating across land, air and sea defence platforms, which counts international government defence ministries and major defence primes amongst its customers.

Advised Marshall Group on major international defence-related contracts.

Advised leading defence companies Krauss-Maffei Wegmann, Rafael Advanced Defence Systems and General Dynamics European Land Systems on the establishment of a new joint venture known as EuroTrophy. Our advice covered both a UK merger control process and UK national security advice.

Advised Naval Group on the UK merger control aspects of its strategic alliance with Fincantieri in respect of naval shipbuilding.

Advised the Trustees of BAE Systems Pensions Schemes on the outsourcing of investment management and administration of the BAE Systems pensions schemes and other matters.

Advised Dassault Systemes on the acquisition of the Opera simulation software business from Cobham.
